1. Eligibility

You must be 18 years of age or older to register for or use the Platform. By creating an account, you represent and warrant that:

• You are at least 18 years old;
• You are legally capable of entering into a binding agreement; and
• Your use of the Platform complies with all applicable laws and regulations.

We reserve the right to suspend or terminate any account where these representations are found to be false.

2. User Account and Security

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

• Do not share your password or allow others to access your account.
• Notify us immediately at business@bisoumatch.com if you suspect unauthorized access or use of your account.
• We reserve the right to disable accounts suspected of fraudulent, abusive, or unlawful activity.

3. Code of Conduct

By using Bisou, you agree to engage respectfully and responsibly. You will not:

• Post, transmit, or share content that is defamatory, abusive, harassing, threatening, hateful, pornographic, obscene, or otherwise objectionable.
• Violate the privacy, intellectual property, or other rights of any third party.
• Use the Platform for commercial solicitation, spam, pyramid schemes, or advertising of any kind.
• Misrepresent your identity, image, age, or affiliations.
• Upload or distribute viruses, malware, or other harmful code.
• Engage in any unlawful activity, including stalking, fraud, or exploitation.
• Collect or store personal data about other users without their consent or the consent of Bisou.

We reserve the right to remove any content or suspend any account violating these rules at any time, without notice at our sole discretion.

4. User Content and License

You retain ownership of the content you post on Bisou ("User Content"). However, by posting or uploading any content, you grant Bisou a non-exclusive, worldwide, royalty-free, transferable, perpetual and sublicensable license to use, reproduce, display, modify, and distribute your User Content solely for the purpose of operating, promoting, and improving the Platform.

You are solely responsible for your User Content. You agree that Bisou does not endorse, verify, or guarantee the accuracy of any content posted by users.

5. Privacy and Data Protection

Your privacy is important to us. Please review our Privacy Policy, which explains how we collect, use, and protect your personal information to commercially reasonably standards while in striving to remain compliant with:

• The General Data Protection Regulation (GDPR),
• The California Consumer Privacy Act (CCPA),
• And other applicable data protection laws.

By using the Platform, you consent to the collection, processing, and transfer of your data as described in our Privacy Policy.

6. Your Rights Under GDPR and CCPA

You may have the right to:

• Access, correct, or delete your personal data;
• Request restriction or object to data processing;
• Request a copy of your data in a portable format;
• Withdraw consent at any time without affecting prior lawful processing.

Requests may be submitted to business@bisoumatch.com. We will verify and respond in accordance with applicable law.

7. Monitoring and Content Moderation

Bisou reserves the right, but not the obligation, to:

• Monitor messages, images, profiles, and communications for compliance with these Terms;
• Remove, modify, or restrict access to any content that violates our Code of Conduct or is deemed harmful;
• Suspend, report or terminate users who engage in repeated or severe violations.

While we strive to maintain a safe environment, Bisou is not liable for user-generated content or any communications between members.

8. Subscription, Billing, and Cancellation

Some features of Bisou may require payment.

• All fees, subscription plans, and terms will be clearly disclosed prior to purchase.
• By subscribing, you authorize Bisou to charge your payment method on a recurring basis unless canceled in accordance with applicable terms.

9. Cancellation

You may cancel your membership at any time through your account settings or by contacting support. Upon cancellation:

• Your account and all associated data may be permanently deleted in a manner that it cannot be recovered.
• If you wish to rejoin, you must register again as a new member.

When subscribing, your subscription will be on a month-to-month basis. As such, you agree that your service will continue for one month from your notice of cancellation and that no refunds will be issued.

10. Intellectual Property Rights

All content, trademarks, graphics, software, and design elements of the Platform (excluding User Content) are the property of Bisou Match Inc. or its licensors and are protected by international intellectual property laws.

You may not copy, reproduce, distribute, or create derivative works from any part of the Platform without Bisou's express written permission.

11. Limitation of Liability

To the fullest extent permitted by law:

• Bisou is not liable for any indirect, incidental, consequential, special, or punitive damages arising from your use or inability to use the Platform.
• This includes, but is not limited to, loss of profits, data, goodwill, or business interruption.
• Any claim against Bisou shall not exceed the amount you paid (if any) for the use of premium features within the previous 12 months.

You acknowledge that use of the Platform is at your sole risk.

12. Indemnification

You agree to indemnify and hold harmless Bisou Match Inc., its affiliates, officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your:

• Violation of these Terms;
• Misuse of the Platform; or
• Infringement of any third-party rights.

13. Dispute Resolution and Governing Law

These Terms are governed by the laws of the Province of British Columbia, Canada, without regard to conflict of laws principles.

14. Arbitration Agreement

Any dispute arising out of or relating to these Terms or your use of the Platform will be resolved through binding arbitration administered by the Canadian Arbitration Association (CAA) in accordance with its rules.

You waive the right to participate in a class action or jury trial. Each party will bear its own costs unless otherwise determined by the arbitrator.

15. Third-Party Links

The Platform may contain links to external sites. Bisou is not responsible for the availability, content, or accuracy of such third-party websites, nor for any damages or losses arising from your use of them.

16. Disclaimer of Warranties

The Platform is provided on an "as is" and "as available" basis. Bisou makes no warranties, express or implied, regarding:

• The accuracy, reliability, or availability of the Platform;
• That the Platform will be error-free, uninterrupted, or free from viruses or harmful code;
• Any outcomes or matches resulting from use of the Platform.

17. Modifications to These Terms

We may modify these Terms at any time. Updated versions will be posted on the Platform with a new "Last Updated" date. Continued use of the Platform after such updates constitutes your acceptance of the revised Terms.

18. Communications

By using the Platform, you consent to receiving electronic communications from Bisou, including notices, updates, and promotional materials. You may opt out of marketing communications at any time via your account settings or by following unsubscribe links.

20. Entire Agreement

These Terms, together with our Privacy Policy and any additional guidelines posted on the Platform, constitute the entire agreement between you and Bisou Match Inc. and supersede any prior agreements related to the use of the Platform.
